Terms of Service

1. Introduction
These terms govern the use of simpleday.co.uk and the services provided by Simple Day Limited (Company No. 13151621), registered in England and Wales. By using our website or engaging our services, you agree to these terms.
2. Services
Simple Day Limited provides bespoke website design, development, and related digital services. All work is custom-coded and delivered on a project basis unless otherwise agreed in writing.
3. Quotes and Pricing
All quotes are valid for 30 days from the date of issue unless stated otherwise. Prices are quoted in GBP and are exclusive of VAT (Simple Day is not currently VAT registered). A quote is not a contract until accepted in writing by both parties.
4. Payment Terms
Unless otherwise agreed in a project-specific quote:
- 50% deposit is required before work commences
- Remaining 50% is due on project completion, before final handover
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
5. Intellectual Property
Upon full payment, all custom code and design work produced for your project is transferred to you. You own your website. Simple Day retains the right to showcase the work in our portfolio unless you request otherwise in writing.
Third-party assets (fonts, stock images, plugins) remain subject to their respective licences. We will advise you of any third-party licence requirements.
6. Client Responsibilities
To ensure timely delivery, you agree to:
- Provide content, assets, and feedback in a timely manner
- Grant necessary access to domains, hosting, and third-party services
- Review and approve work at agreed milestones
Delays caused by late provision of materials may affect the delivery timeline. We will communicate any impact promptly.
7. Revisions
Each project includes a reasonable number of revisions as part of the build process. Significant scope changes or additions beyond the original brief may be quoted separately.
8. Support and Maintenance
Unless otherwise stated in your project quote, 3 months of email support is included after launch. This covers bug fixes and minor adjustments. Ongoing maintenance, feature additions, or redesigns beyond this period can be arranged at an agreed rate.
9. Hosting and Domains
Simple Day does not provide hosting or domain registration services. We will advise on suitable providers and assist with setup. You are responsible for ongoing hosting fees and domain renewals.
10. Limitation of Liability
Simple Day Limited will not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website. Our total liability for any claim shall not exceed the total fees paid for the project in question.
We are not responsible for losses resulting from third-party services (hosting providers, payment processors, etc.) or for downtime beyond our control.
11. Cancellation
Either party may cancel a project by providing written notice. In the event of cancellation:
- Work completed up to the cancellation date will be invoiced
- Deposits are non-refundable unless no work has commenced
- Any materials or code produced will be handed over upon payment of outstanding invoices
12. Website Use
By using simpleday.co.uk you agree not to misuse the site, attempt to gain unauthorised access, or use the site for any unlawful purpose. All content on the site is the property of Simple Day Limited unless otherwise stated.
13. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
